Memorandum of an agreement made and
entered into this tenth day of Dec. Anno Domini 1824 between FRANCIS
KINLOCH of Georgetown, Esq. Of the first part and HENRY A. MIDDLETON of
Charleston, Esq. Of the second part….
The said FRANCIS KINLOCH in consideration
of the agreement of the said HENRY A. MIDDLETON herein after expressed,
agrees to sell to the said HENRY A. MIDDLETON his plantations called
KENSINGTON and MAYFIELD in Georgetown District; KENSINGTON situate on
the joint waters of Black and Pedee Rivers; Mayfield situate on Black
River; with all their appurtenances at and for the price of Forty
Thousand Dollars to be paid as hereinafter mentioned.
Possession to be given in all the ninth of January next and to
make and deliver good & sufficient deeds for conveying &
assuring the premises to him in fee simple…And the said HENRY A.
MIDDLETON in consideration of the sale aforesaid agrees to pay to the
said FRANCIS KINLOCH his exors. or admors. or assigns the sum of Forty
Thousand Dollars in manner following: viz: he agrees to take up, or
otherwise exonerate the said FRANCIS KINLOCH from the mortgages by which
the said plantation called KENSINGTON is now bound amount not
ascertained at this time and also to take up or otherwise exonerate the
said FRANCIS KINLOCH from payment of sundry promissory notes of the said
FRANCIS KINLOCH which have been endorsed for the accommodation of the
said FRANCIS KINLOCH, some of them by the late CLELAND KINLOCH, Esq.
Others by the said HENRY A. MIDDLETON and FRANCIS KINLOCH, JR. the sum
or aggregate amount of the moneys due on the said notes not ascertained
at this time…The sum due or that may be due on the said mortgages and
notes, on the day that possession shall be given under this agreement of
the purchased premises to be allowed the said HENRY A. MIDDLETON as
parcel of the aforesaid Forty Thousand dollars and the residue of the
purchase money to be paid the said FRANCIS KINLOCH
on or before the expiration of three years from the day of taking
possession as above mentioned with interest from the day of possession
given to be secured by the bond of the said HENRY A. MIDDLETON and good
personal security.
